1. Definitions
- "Services" means the commercial activities of Gulf Stone, including without limitation administrative services, logistics, equipment, IT, and auto spare parts, as described on the Site or in separate written agreements.
- "Content" means all text, graphics, images, logos, button icons, software, data compilations, and other materials on the Site.
- "User Content" means information or materials you submit to us via the Site, email, or other channels.
2. Nature of the Site and no offer
The Site is provided for general information about Gulf Stone and our capabilities in administrative services, logistics (including freight forwarding, customs coordination, warehousing, and transportation management), and equipment, IT, and auto spare parts trade (including sourcing, procurement, logistics, and related market and risk considerations).
Nothing on the Site constitutes an offer, solicitation, or recommendation to buy or sell any commodity, security, derivative, or financial instrument, or to enter into any transaction. Nothing on the Site constitutes legal, tax, accounting, investment, regulatory, or professional advice. Any engagement for Services requires separate written documentation (including, where applicable, master services agreements, confirmations, sanctions and compliance representations, and industry-standard trade terms) executed by authorized representatives of both parties.
3. Eligibility
You represent that you are at least eighteen (18) years of age (or the age of majority in your jurisdiction) and have full legal capacity to enter into these Terms. If you access the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.
4. Acceptable use
You agree not to:
- Use the Site in violation of any applicable law, regulation, or third-party right, including export control, sanctions, anti-bribery, anti-money laundering, or trade compliance laws;
- Attempt to gain unauthorized access to the Site, our systems, or third-party systems linked to the Site;
- Introduce viruses, malware, denial-of-service attacks, or other harmful code or conduct;
- Scrape, harvest, data-mine, or systematically copy Content except as permitted by mandatory law or with our prior written consent;
- Use the Site to transmit false, misleading, defamatory, harassing, or obscene material;
- Impersonate any person or entity or misrepresent your affiliation;
- Use automated means (including bots) to interact with the Site in a manner that burdens our infrastructure without permission.
We may suspend or terminate access for conduct we reasonably believe violates these Terms or poses a risk to Gulf Stone, other users, or third parties.
5. Accounts
The Site may not require user registration. If we introduce accounts or portals in the future, additional terms may apply and will be presented at registration.
6. User Content and inquiries
When you submit User Content (including contact forms, emails, or attachments), you grant Gulf Stone a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and disclose such content solely for purposes of responding to your inquiry, operating our business, and complying with law. You represent that you have all rights necessary to grant this license and that User Content does not infringe third-party rights or violate law.
Unsolicited ideas, proposals, or materials sent to us may be used or disclosed without obligation or compensation to you, except where prohibited by mandatory law.
7. Intellectual property
The Site and Content are owned by Gulf Stone or its licensors and are protected by copyright, trademark, and other intellectual property laws. The Gulf Stone name, logos, and trade dress are trademarks of Gulf Stone or its affiliates. Except for temporary downloading for personal, non-commercial viewing, or as required for ordinary browser caching, you may not copy, modify, distribute, publicly display, create derivative works from, or reverse engineer the Content without our prior written consent.
8. Third-party links
The Site may contain links to third-party websites or resources. We provide links for convenience only. We do not endorse and are not responsible for third-party content, privacy practices, or terms of use. Access to third-party sites is at your sole risk.
9. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Site, you acknowledge that we may process personal data as described therein.
10. Disclaimers
10.1 General
THE SITE AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF THE SULTANATE OF OMAN AND ANY OTHER APPLICABLE JURISDICTION.
10.2 Commercial and market risks
Gulf Stone operates in sectors—including equipment, IT, and logistics—subject to price volatility, regulatory change, force majeure events, credit risk, and operational disruption. The Site does not guarantee availability of capacity, pricing, delivery timelines, or market conditions. Past performance or descriptions on the Site are not indicative of future results.
10.3 Accuracy
While we strive to keep Site information accurate and current, we do not warrant that Content is complete, reliable, or error-free. The Site may be updated or modified without notice.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GULF STONE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD 100) OR (B) THE AMOUNT YOU PAID US (IF ANY) SPECIFICALLY FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
Nothing in these Terms limits liability for death or personal injury caused by gross negligence or willful misconduct where such limitation is prohibited by law.
12. Indemnity
You agree to indemnify, defend, and hold harmless Gulf Stone and its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your User Content, your violation of these Terms, or your violation of any law or third-party right, to the extent permitted by applicable law.
13. Compliance and sanctions
You represent that you are not designated on any sanctions or denied parties list and that you will not use the Site or Services to facilitate transactions prohibited by applicable sanctions, export controls, or trade embargoes. Gulf Stone reserves the right to refuse or cease dealings where required by law or internal compliance policies.
14. Force majeure
We shall not be liable for any failure or delay in performance under these Terms where caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation or fuel, pandemics, infrastructure failures, or government actions.
15. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with the Site or their subject matter (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Sultanate of Oman, without regard to its conflict-of-law principles that would require application of another jurisdiction's laws.
Subject to any non-waivable rights you may have under mandatory consumer or other law in your home jurisdiction, you agree that the courts of Muscat, Oman shall have exclusive jurisdiction to settle any dispute arising from these Terms or the Site. Nothing in this Section limits our right to seek injunctive or equitable relief in any competent court.
16. General provisions
16.1 Entire agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Gulf Stone regarding the Site and supersede prior understandings on that subject.
16.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
16.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right does not waive that right.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Language
The English language version of these Terms prevails in the event of conflict with any translation provided for convenience.
16.6 Electronic communications
You consent to receive communications from us electronically, including via email or notices posted on the Site, and agree that such communications satisfy any legal requirement for written communication, where permitted by law.
16.7 Survival
Provisions that by their nature should survive termination of your access to the Site—including intellectual property, disclaimers, limitation of liability, indemnity, confidentiality, governing law and jurisdiction, compliance and sanctions, anti-bribery, formal notices, and accrued rights—remain in effect after you cease using the Site.
17. Precedence of separate commercial agreements
These Terms govern access to and use of the Site only. Any commercial engagement for administrative services, logistics, equipment trade, IT, auto spare parts, or related activities shall be subject to separate written instruments (including master services agreements, purchase or sale confirmations, charter-party or forwarding terms, non-disclosure agreements, compliance certificates, and industry standard terms such as Incoterms® or association rules where incorporated by reference). In the event of conflict between these Terms and a fully executed agreement relating to a specific transaction, the executed agreement prevails to the extent of the conflict, solely with respect to that transaction.
No employee or agent may vary these Terms or bind Gulf Stone to commercial terms except with express written authority. Quotations, emails, or oral discussions that are not confirmed in signed or system-accepted documentation do not create enforceable obligations.
18. Anti-bribery, corruption, and ethical dealings
You represent and warrant that neither you nor anyone acting on your behalf will offer, promise, give, solicit, or accept any undue financial or other advantage to obtain or retain business or a business advantage in connection with the Site or any prospective or actual engagement with Gulf Stone. You shall comply with applicable anti-corruption and anti-bribery laws, including, without limitation, the Sultanate of Oman Penal Law and other Omani statutes addressing bribery and abuse of office, and any foreign statutes with extraterritorial effect that may apply to your organization (for example, the U.S. Foreign Corrupt Practices Act or the UK Bribery Act 2010).
Gulf Stone maintains internal policies designed to prevent bribery, facilitation payments, and improper gifts or hospitality. We may terminate discussions or contracts if we reasonably believe such standards have been or may be breached.
19. Confidentiality
Information marked confidential or that reasonably ought to be treated as confidential—including pricing, counterparty identities, cargo details, contract terms, and non-public personal data—must not be disclosed to third parties without prior written consent, except as required by law, court order, or competent regulatory authority, or to professional advisers bound by confidentiality obligations.
Gulf Stone may disclose confidential information to its affiliates, insurers, auditors, financiers, or service providers who have a need to know and are subject to appropriate confidentiality duties. Obligations in this Section survive termination of your use of the Site for so long as the information remains confidential under applicable law.
20. Accuracy of information; tax, customs, and duties
You are responsible for the accuracy and completeness of all User Content and information you supply. You shall promptly notify us of any material changes to contact details, corporate status, sanctions exposure, or other facts relevant to compliance or performance.
Unless expressly agreed otherwise in writing, you remain responsible for determining and paying any taxes, customs duties, tariffs, fees, or levies applicable to your activities or shipments. Gulf Stone's descriptions on the Site do not constitute tax or customs advice.
21. Compliance monitoring and recording
To the extent permitted by applicable law, we may monitor, record, retain, and analyze communications with us (including email, telephone, and video conferences) for quality assurance, training, dispute resolution, regulatory compliance, and protection of legal rights. You will be informed of recording where required by law.
We may retain metadata and security logs relating to Site access and submissions for integrity, fraud prevention, and audit purposes in accordance with our Privacy Policy.
22. Insurance; no undertaking via Site
Nothing on the Site constitutes a commitment to maintain insurance coverage for any particular risk, cargo, or liability. Insurance arrangements, if any, are specified only in separate contracts or certificates of insurance exchanged in the ordinary course of a documented engagement.
23. Omani legal framework (informational)
Gulf Stone is established and operates in the Sultanate of Oman. Without limiting Section 15, the following statutes and legal traditions may be relevant to our commercial relationships and are referenced for context only—they do not by themselves govern your use of the Site, and this list is non-exhaustive: the Civil Transactions Law (Sultani Decree No. 29/2013, as amended); the Commercial Law and related commercial registration and agency rules; the Oman Labour Law where employment-related administrative support is in scope; customs, excise, and foreign-trade legislation administered by the Royal Oman Police (Customs) and related authorities; tax and invoicing requirements issued from time to time by the Tax Authority; anti-money-laundering and counter-terrorist financing rules issued under applicable royal decrees and ministerial decisions; and sector-specific rules touching import/export controls, customs, port operations, maritime safety, and environmental protection. Nothing in these Terms constitutes a representation that a particular statute does or does not apply to your transaction; binding advice must come from qualified Omani and other counsel.
Where international conventions may apply to underlying carriage or trade (for example rules incorporated into bills of lading or charter parties), those conventions bind the parties only to the extent expressly adopted in executed documents—not through these Terms alone.
24. Subcontracting, delegation, and independent contractors
Gulf Stone may engage affiliates, subcontractors, agents, brokers, freight forwarders, warehouse operators, surveyors, inspectors, customs brokers, carriers, insurers, and other intermediaries to perform administrative, logistics, equipment, IT, or auto spare parts services, always subject to confidentiality and compliance obligations we impose where commercially practicable. Unless a separate contract states otherwise, your recourse for performance or loss remains governed by the written agreement that defines the specific engagement—not by these Site Terms.
No subcontractor or agent is authorized to amend these Terms or to make representations on our behalf except within the scope of written authority we provide.
25. Dangerous goods, hazardous cargoes, and environmental compliance
You represent and warrant that any information you provide regarding cargo—including classification, packing group, UN numbers, flashpoint, and special handling requirements—is accurate and complete. You shall comply with applicable rules for dangerous goods and hazardous materials (including IMDG, IATA, ADR, or other modal regulations where relevant), port and terminal requirements, and environmental laws. Gulf Stone may refuse, suspend, or terminate services if we reasonably believe that shipments are mis-declared, unsafe, or non-compliant.
To the extent permitted by law, you shall indemnify and hold harmless Gulf Stone from fines, penalties, clean-up costs, third-party claims, and regulatory actions arising from your breach of this Section or from hazardous or prohibited cargo tendered without lawful authorization.
26. Amicable dispute resolution (Site-related matters)
Before initiating court proceedings solely in connection with access to or use of the Site (as distinct from commercial disputes governed by separate contracts), the parties agree to attempt in good faith to resolve the matter through senior-management discussions for a period of at least thirty (30) days following written notice to [email protected] describing the dispute with reasonable particularity. Either party may skip this step where interim injunctive relief is necessary to prevent irreparable harm or where applicable law mandates immediate filing.
This process does not replace arbitration or litigation clauses that may appear in master agreements, charter parties, or confirmations relating to commodities, freight, or services; in case of conflict, the transaction-specific instrument prevails for that dispute.
27. Formal notices
Unless a separate agreement specifies otherwise, legal or formal notices to Gulf Stone should be sent to our postal address at P.O. Box 112, P.C. 111, Bousher, Muscat, Sultanate of Oman, with a copy by email to [email protected]. Notices to you may be sent to the email address you last provided. Electronic notices are effective when sent unless applicable law requires otherwise.
28. Changes to these Terms
We may revise these Terms at any time by posting the updated version on this page and changing the "Last updated" date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires additional consent. If you do not agree, you must stop using the Site.
